1. Introduction

These Terms of Service ("Terms") govern your use of the Yukti Weblabs website (yuktiweblabs.com) and any services provided by Yukti Weblabs ("we", "us", or "our"), an IT agency based at 12, Tulsi Vihar, Phase 1, Awadhpuri, Bhopal – 462022, Madhya Pradesh, India.

These Terms apply to all visitors, clients, and users of our website and services. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

2. Acceptance of Terms

By accessing our website, submitting an enquiry, or engaging our services, you confirm that:

• You are at least 18 years of age or have the legal authority to enter into contracts
• You have read, understood, and agree to be bound by these Terms
• You agree to our Privacy Policy, which is incorporated into these Terms by reference

If you do not agree to these Terms, you must stop using our website and services immediately.

Yukti Weblabs provides digital services including but not limited to:

• Web Application Development
• Mobile Application Development (iOS & Android)
• Search Engine Optimisation (SEO) & SEO Audits
• Social Media Optimisation
• Online Brand Management
• AI / Machine Learning Development
• E-commerce Development
• WordPress Development

The specific scope, deliverables, timelines, and costs for each project will be defined in a separate Statement of Work ("SOW"), project proposal, or service agreement. In the event of any conflict between these Terms and a signed agreement, the signed agreement shall prevail.

We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

4. Intellectual Property

4.1 Our IP: All content on the Yukti Weblabs website — including text, graphics, logos, images, code snippets, and design elements — is our intellectual property or that of our licensors and is protected by applicable copyright, trademark, and other IP laws. You may not reproduce, distribute, or create derivative works without our express written permission.

4.2 Client Work: Upon receipt of full payment for a project, we assign to you all ownership rights to the final custom deliverables created specifically for you under the applicable SOW. However, the following shall remain our property:

• Pre-existing tools, frameworks, libraries, templates, and methodologies
• General-purpose modules or code that we may use in other projects
• Third-party components subject to open-source or commercial licences

4.3 Portfolio rights: Unless agreed otherwise in writing, we reserve the right to display our work for you in our portfolio and marketing materials.

4.4 Your content: You retain all ownership of content, materials, logos, and data you provide to us. You grant us a limited licence to use such materials solely for the purpose of fulfilling your project.

5. User Obligations

When using our website and services, you agree to:

• Provide accurate, complete, and up-to-date information in all communications and forms
• Cooperate reasonably, including providing feedback and approvals within agreed timeframes
• Not use our website for any unlawful, harmful, or fraudulent purpose
• Not attempt to interfere with, disrupt, or gain unauthorised access to our systems
• Not upload or transmit any malicious code, viruses, or harmful content
• Ensure that any content or materials you provide to us do not infringe third-party rights
• Obtain all necessary licences and permissions for content you ask us to incorporate into your project

6. Payment Terms

6.1 Fees: All fees will be agreed upon and documented in the project proposal or SOW. Prices are quoted in Indian Rupees (INR) unless otherwise stated.

6.2 Payment schedule: Unless otherwise agreed, our standard payment structure is:

• 50% advance payment before work commences
• 50% final payment upon project completion and before final delivery/deployment

6.3 Late payments: Invoices are due within 15 days of issue. We reserve the right to suspend work on outstanding projects and charge interest on overdue amounts at 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower.

6.4 Additional work: Any work requested beyond the agreed scope will be quoted and charged separately. No additional work will be undertaken without written approval.

6.5 Refunds: Advance payments are non-refundable once work has commenced. Refund eligibility for other scenarios will be assessed on a case-by-case basis in accordance with any applicable service agreement.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of a project, including business strategies, technical data, financial information, and unpublished creative materials. This obligation survives termination of the engagement for a period of two (2) years.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was already known to the receiving party; (c) is required to be disclosed by law or court order.

8. Warranties & Disclaimers

We warrant that we will perform services with reasonable skill and care, and that deliverables will substantially conform to the agreed specifications at the time of delivery.

However, to the maximum extent permitted by law:

• Our website and services are provided on an "as is" and "as available" basis
• We do not warrant that our website will be uninterrupted, error-free, or free from viruses
• We do not guarantee specific outcomes such as search engine rankings, conversion rates, or revenue growth from our services
• We are not responsible for the content or practices of third-party platforms or services

9. Limitation of Liability

To the fullest extent permitted by applicable law, Yukti Weblabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business opportunities, arising from your use of our website or services.

Our total aggregate liability for any claims arising from or related to our services shall not exceed the total amount paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability for fraud, wilful misconduct, or any other liability that cannot be excluded or limited by law.

10. Termination

10.1 By you: You may terminate a project engagement with 14 days' written notice. You will be liable to pay for all work completed up to the termination date, plus any reasonable costs incurred.

10.2 By us: We reserve the right to terminate our engagement immediately if you: breach these Terms or the applicable service agreement; fail to make payments when due; engage in conduct that we reasonably consider harmful, unethical, or damaging to our reputation.

10.3 Effect of termination: Upon termination, each party shall return or destroy the other's confidential materials. Any clauses that by their nature should survive termination (intellectual property, confidentiality, payment obligations, limitation of liability) shall continue to apply.

11. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties.

If a dispute cannot be resolved amicably within 30 days, it shall be submitted to binding arbitration in Bhopal, Madhya Pradesh, in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in the English language.

Notwithstanding the above, either party may seek injunctive or other equitable relief in courts of competent jurisdiction without waiving the right to arbitration.
